Ascent Trim and Wellness
Effective Date: December 3, 2025Introduction and Acceptance
Welcome to Ascent Trim and Wellness (“Company,” “we,” “us,” or “our”). These Terms of Service (“Terms”) govern your access to and use of our medical wellness and weight management services, including our website, mobile applications, telemedicine platform, and all related services (collectively, the “Services”).
By enrolling in our programs, accessing our Services, or making any payment to us, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use our Services.
Nature of Services
2.1 Medical Wellness Clinic
Ascent Trim and Wellness is a Medical Wellness and Weight Management Clinic providing comprehensive, physician-supervised health optimization programs. We are not a pharmacy, retail medication provider, or online drugstore. We do not operate a shopping cart for medications, nor do we sell pharmaceutical products directly to consumers.
2.2 Managed Treatment Programs
Our Services consist of all-inclusive Managed Treatment Programs that integrate medical evaluation, clinical oversight, health coaching, technology-enabled monitoring, and—when medically appropriate and prescribed by our licensed healthcare providers—access to therapeutic treatments. These programs are designed to support patients in achieving their health and wellness goals under the supervision of qualified medical professionals.
2.3 Services Included in Program Membership
Each Managed Treatment Program membership includes:
- Medical Services: Comprehensive medical evaluation, ongoing clinical assessments, telemedicine consultations, and continuous medical oversight by our licensed Medical Director and clinical staff.
- Technology Access: Use of the Ascent AI Labs proprietary health-tracking platform, AI-driven patient monitoring systems, progress tracking tools, and secure patient portal.
- Health Coaching: Access to certified health coaches, personalized guidance, and accountability support to optimize treatment outcomes.
- Body Composition Analysis: 3D body composition scanning and analysis to track progress and inform treatment decisions.
- Clinical Supplies: As a convenience to the patient, and when medically indicated, the program fee includes the cost of all required clinical supplies and prescription medications as determined by our healthcare providers. These are fulfilled and dispensed exclusively by our licensed 503A partner compounding pharmacies in compliance with all applicable state and federal regulations.
Medical Services and Provider Relationship
3.1 Physician Oversight
All medical services are provided under the supervision of licensed healthcare providers. Our Medical Director and clinical team are responsible for all clinical decisions, including but not limited to: patient eligibility determinations, diagnosis, treatment planning, medication selection, dosing, and ongoing monitoring.
3.2 Medical Clearance Required
No payment is processed, and no treatment is initiated, until a patient has been medically evaluated and cleared by our licensed healthcare providers. Enrollment in a program does not guarantee that any particular treatment will be prescribed. Our providers exercise independent medical judgment in determining the appropriateness of any treatment for each individual patient.
3.3 Telemedicine Consent
By enrolling in our Services, you consent to receive healthcare services via telemedicine technologies. You understand that:
- Telemedicine involves the use of electronic communications to enable healthcare providers to share individual patient medical information for the purpose of improving patient care.
- You have the right to withhold or withdraw consent to telemedicine services at any time without affecting your right to future care or treatment.
- The laws that protect the confidentiality of your medical information also apply to telemedicine.
- You may request an in-person visit with a local provider if you prefer not to use telemedicine services.
3.4 No Guarantee of Results
Individual results vary based on multiple factors including adherence to treatment protocols, lifestyle factors, genetics, and other variables. We do not guarantee any specific outcome, weight loss result, or health improvement. Our role is to provide professional medical guidance and support; ultimate results depend on patient participation and compliance.
Payment, Billing, and Fund Flow
4.1 Program Fees
Patients pay a flat Monthly Program Fee for enrollment in our Managed Treatment Programs. This single, all-inclusive transaction covers all components of the program as described in Section 2.3, including medical services, technology access, health coaching, and—when prescribed—clinical supplies and medications.
4.2 Nature of Charges
Our revenue is derived from Service Memberships for medical services (Merchant Category Code 8099: Medical Services). We are not engaged in pharmaceutical retail. The program fee represents payment for a comprehensive medical service, not the purchase of individual pharmaceutical products.
4.3 Payment Processing
Ascent AI Labs, our technology partner, acts as the authorized agent to collect program fees on behalf of Ascent Trim and Wellness. All payment processing is conducted in compliance with applicable payment network rules and regulations.
4.4 No Shopping Cart Model
We do not offer a “shopping cart,” “add to cart,” or similar e-commerce functionality for medications or pharmaceutical products. Patients enroll in comprehensive treatment programs, not individual product purchases. Any medications included in a patient’s treatment plan are determined solely by our healthcare providers based on medical necessity and are dispensed through our licensed pharmacy partners.
4.5 Billing Cycle
Program fees are billed on a recurring monthly basis. Your billing date will be the same date each month as your initial enrollment date, or the closest available date if that date does not exist in a given month. You authorize us to charge your designated payment method on each billing date until you cancel your membership.
4.6 Additional Services
Certain ancillary services (such as additional coaching sessions, body contouring treatments, wellness optimization add-ons, and supplements) may be available for separate purchase. These services are clearly distinguished from the core program membership and are billed separately.
Pharmacy Fulfillment and Medication Dispensing
5.1 Licensed Pharmacy Partners
When our healthcare providers determine that prescription medication is medically appropriate for a patient’s treatment plan, such medications are dispensed exclusively by licensed 503A compounding pharmacies that partner with our clinic. These pharmacies operate in full compliance with all applicable federal and state pharmacy regulations.
5.2 Prescription Requirements
All prescription medications require a valid prescription from one of our licensed healthcare providers following a medical evaluation. No medications are dispensed without a prescription. Our clinic does not dispense medications directly; all dispensing is performed by our licensed pharmacy partners.
5.3 Coordination of Fulfillment
Ascent Trim and Wellness coordinates the fulfillment process between our healthcare providers and our pharmacy partners as a service to our patients. This coordination is part of the comprehensive care model and does not constitute operation as a pharmacy or pharmaceutical retailer.
Cancellation, Refunds, and Membership Termination
6.1 Cancellation Policy
You may cancel your program membership at any time by providing written notice to our patient services team. Cancellation will be effective at the end of your current billing cycle. You will continue to have access to Services through the end of the period for which you have paid.
6.2 Refund Policy
Because our program fees cover medical services that are rendered upon enrollment (including medical evaluation, care coordination, and provider access), program fees are generally non-refundable once services have been initiated. However, we will consider refund requests on a case-by-case basis in the following circumstances:
- You are determined to be medically ineligible for treatment during your initial evaluation;
- You experience a documented adverse reaction that requires discontinuation of treatment;
- Services were not provided as described due to an error on our part.
6.3 Termination by Company
We reserve the right to terminate your membership and access to Services at any time if:
- You violate these Terms or any applicable policies;
- You provide false or misleading information during enrollment or treatment;
- Our healthcare providers determine that continued treatment is not in your best medical interest;
- You engage in abusive, threatening, or inappropriate behavior toward our staff;
- Payment cannot be processed due to declined payment methods or insufficient funds.
Privacy, Confidentiality, and HIPAA Compliance
7.1 Protected Health Information
As a healthcare provider, we are committed to protecting your Protected Health Information (PHI) in accordance with the Health Insurance Portability and Accountability Act (HIPAA) and applicable state privacy laws. Our Notice of Privacy Practices, provided separately, describes how we may use and disclose your PHI and your rights regarding your health information.
7.2 Use of Information
We collect, use, and share your personal and health information only as necessary to provide our Services, comply with legal obligations, and as otherwise described in our Privacy Policy and Notice of Privacy Practices.
7.3 Communication Consent
By enrolling in our Services, you consent to receive communications from us via email, SMS/text message, and telephone regarding your treatment, appointments, and account. You may opt out of non-essential marketing communications at any time.
Disclaimers and Limitations of Liability
8.1 Medical Disclaimer
The information provided through our Services is intended for general wellness purposes and is not a substitute for professional medical advice, diagnosis, or treatment from your primary care provider. Always seek the advice of qualified healthcare providers with any questions you may have regarding a medical condition.
8.2 No Warranty
OUR SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
8.3 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ASCENT TRIM AND WELLNESS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF OUR SERVICES, REGARDLESS OF THE THEORY OF LIABILITY.
Dispute Resolution
9.1 Informal Resolution
Before initiating any formal dispute resolution proceeding, you agree to first contact us directly to attempt to resolve any dispute informally. Most concerns can be resolved quickly and to your satisfaction by contacting our patient services team.
9.2 Arbitration Agreement
Any dispute, claim, or controversy arising out of or relating to these Terms or your use of our Services that cannot be resolved informally shall be resolved by binding arbitration in accordance with the rules of the American Arbitration Association. This arbitration agreement does not preclude you from bringing issues to the attention of federal, state, or local agencies.
9.3 Class Action Waiver
YOU AGREE THAT ANY ARBITRATION OR PROCEEDING SHALL BE LIMITED TO THE DISPUTE BETWEEN US AND YOU INDIVIDUALLY. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.
General Provisions
10.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Colorado, without regard to its conflict of law provisions.
10.2 Modifications
We reserve the right to modify these Terms at any time. Material changes will be communicated to you via email or through our platform. Your continued use of our Services after such modifications constitutes acceptance of the updated Terms.
10.3 Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
10.4 Entire Agreement
These Terms, together with our Privacy Policy, Notice of Privacy Practices, and any program-specific agreements, constitute the entire agreement between you and Ascent Trim and Wellness regarding your use of our Services.
10.5 Assignment
You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
10.6 Waiver
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
